Terms of Service

1. Acceptance of Terms

By accessing or using Kinsweldo (the "Service"), you agree to be bound by these Terms of Service ("Terms") and all applicable laws and regulations of the Republic of the Philippines. These Terms constitute a legally binding agreement between you and QV Technologies OPC ("we," "us," or "our"), the company operating Kinsweldo.

If you are using the Service on behalf of a company or other legal entity ("Organization"), you represent and warrant that you have the authority to bind that Organization to these Terms. In such case, "you" refers to both you as an individual and the Organization. If you do not have that authority, or if you do not agree with these Terms, you must not use the Service.

2. Description of Service

Kinsweldo is a cloud-based payroll computation and Human Resource Information System (HRIS) software designed for Philippine businesses. The Service provides tools for computing employee compensation, statutory contributions (SSS, PhilHealth, Pag-IBIG), withholding taxes, generating government-required reports, managing employee records, processing attendance, and distributing payslips.

Important: Kinsweldo provides computation tools based on government-published rates and the data you input. You remain solely responsible for the accuracy of all data entered into the system, for verifying outputs with qualified accountants and legal counsel, and for ensuring full compliance with applicable Philippine laws including the National Internal Revenue Code, the Social Security Act, the Universal Health Care Act, the Home Development Mutual Fund Law, and the Labor Code.

3. Account Registration

To use the Service, you must register for an account. You agree to:

• Be at least 18 years of age at the time of registration
• Provide accurate, current, and complete information during registration and keep it updated
• Maintain the confidentiality of your account credentials and not share them with unauthorized parties
• Notify us immediately at admin@kinsweldo.com if you suspect unauthorized access to your account
• Accept responsibility for all activities that occur under your account

We reserve the right to suspend or terminate accounts that contain false, misleading, or fraudulent information.

4. Subscription and Payment

Access to paid features of Kinsweldo requires a paid subscription. The following terms apply:

• Plans and pricing — current plans and pricing are published at kinsweldo.com/pricing
• Billing cycle — subscriptions are billed monthly or annually, in advance, on the date you subscribe
• Price changes — we will provide at least 30 days' advance notice via email before any price increase takes effect
• No refunds — all payments are final and non-refundable. This applies to monthly and annual subscriptions, processing/convenience fees, and overage charges, including where you cancel mid-cycle, stop using the Service, or your account is terminated for breach of these Terms. Upon cancellation, the Service remains available until the end of the period already paid for; no pro-rated or partial refunds are given. This does not apply to the correction of billing errors made by us (such as a duplicate charge), which we will reverse upon verification, and nothing here limits rights that cannot be waived under Philippine law
• Online payment convenience fee — payments made through our online payment processor (credit/debit card, e-wallet) carry a payment processing convenience fee, disclosed as a peso amount before you confirm payment and itemized on your invoice or receipt. The fee varies by payment method. Payment by direct bank transfer carries no convenience fee and remains available at all times
• Automatic renewal and cancellation — if you enroll in recurring billing, you authorize QV Technologies OPC, through its payment processor, to automatically charge your stored payment method the subscription amount plus the applicable convenience fee at the start of each billing cycle, until you cancel. You may cancel at any time from your Billing settings; cancellation stops all future charges, and access continues until the end of the current paid period with no refund. You may update or replace your stored payment method at any time
• VAT — all prices are exclusive of Value Added Tax (VAT). Applicable taxes will be added to your invoice as required by Philippine tax law
• Failed payments — if a payment fails, we will attempt collection for up to 7 days before suspending access to paid features
• Overages — if your usage exceeds the employee limit of your plan, overage charges may apply as described on the pricing page

5. Acceptable Use

You agree not to use the Service to:

• Violate any applicable Philippine or international law or regulation
• Process payroll or data for any entity other than your own Organization without our express written consent
• Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service
• Circumvent, disable, or interfere with security features, access controls, or authentication mechanisms
• Upload, transmit, or store any malware, viruses, ransomware, or any other malicious code
• Scrape, crawl, or use automated means to extract data from the Service
• Attempt to gain unauthorized access to other customers' accounts or data
• Use the Service to commit fraud, identity theft, or any criminal act
• Impersonate any person or entity, or misrepresent your affiliation with any person or entity

Violation of these acceptable use standards may result in immediate account termination without refund.

6. Data Ownership

You retain full ownership of all data you input into Kinsweldo, including employee records, payroll data, attendance records, and company configurations ("Your Data"). We process Your Data solely to provide and improve the Service on your behalf.

You grant QV Technologies OPC a limited, non-exclusive, worldwide license to process Your Data as necessary to operate and deliver the Service. We do not claim ownership of Your Data, and we do not use Your Data for any purpose other than those described in these Terms and our Privacy Policy.

On cancellation: Upon termination of your subscription, Your Data remains accessible for export for 30 days. After 30 days, data not required to be retained by law will be permanently deleted.

7. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

QV Technologies OPC is not a licensed accounting firm, tax adviser, or legal counsel. Kinsweldo's payroll computations are automated calculations based on government-published rates and the data you provide. They are not a substitute for professional accounting or legal advice. We strongly recommend that you have your payroll reviewed by a Certified Public Accountant (CPA) licensed in the Philippines.

We do not warrant that the Service will be uninterrupted, error-free, or completely secure. Government-published rates (SSS, PhilHealth, Pag-IBIG, BIR tax tables) are updated by the respective agencies; we make reasonable efforts to keep our rules engine current but cannot guarantee real-time accuracy.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, QV TECHNOLOGIES OPC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF DATA, OR LOSS OF BUSINESS OPPORTUNITY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

In no event shall QV Technologies OPC's total aggregate liability to you for any claim arising out of or relating to these Terms or the Service exceed the total subscription fees paid by you to QV Technologies OPC during the three (3) calendar months immediately preceding the event giving rise to the claim.

The limitations in this section apply regardless of the form of the action, whether in contract, tort, negligence, strict liability, or otherwise.

9. Indemnification

You agree to defend, indemnify, and hold harmless QV Technologies OPC and its officers, directors, employees, agents, licensors, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

• Your violation of these Terms
• Your use or misuse of the Service
• Your violation of any applicable law or the rights of any third party
• Inaccurate or incomplete data you provided to the Service
• Any claim by your employees or former employees relating to payroll computed using data you provided

10. Termination

Termination by you: You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period.

Termination by us: We may suspend or terminate your account immediately, without prior notice, if you violate these Terms, fail to pay subscription fees after a cure period, or if required by applicable law.

Effect of termination: Upon termination, your right to access the Service ceases immediately. Your Data will remain available for export for 30 days following the termination date. After 30 days, data not required to be retained by applicable law will be permanently and irreversibly deleted.

11. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Republic of the Philippines, without regard to its conflict of law provisions.

Any dispute, controversy, or claim arising out of or relating to these Terms, or the breach, termination, or invalidity thereof, shall be subject to the exclusive jurisdiction of the appropriate courts of Quezon City, Metro Manila, Philippines. You hereby irrevocably consent to the personal jurisdiction of such courts.

12. Changes to Terms

We reserve the right to modify these Terms at any time. For material changes, we will provide at least 30 days' advance notice via email to your registered address and via an in-app notification. Non-material corrections (typos, clarifications that do not affect your rights) may be made without notice.

Your continued use of the Service after the effective date of revised Terms constitutes your acceptance of the changes. If you do not agree to the revised Terms, you must cancel your subscription before the effective date.
